1. Acceptance of These Terms
By creating an account, downloading the app, registering a group, joining a group, or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.
If you use the Services on behalf of an association, alumni network, school year group, community organization, club, or other group (“Group”), you represent that you are authorized to accept these Terms on the Group’s behalf, and “you” includes that Group.
2. Eligibility
- You must be at least 18 years old (or the age of legal majority where you live, if higher) and able to form a binding contract. The Services are not directed to children, and we do not knowingly allow minors to create accounts.
- You may not use the Services if you are barred from doing so under applicable law, appear on any government sanctions or restricted-party list, or are located in a country subject to comprehensive sanctions.
- You may hold only one personal account unless we agree otherwise. You may belong to more than one Group with that account.
3. What Tribily Is (and Is Not)
Tribily is a software platform that helps Groups organize members, manage monthly dues, record contributions in a shared ledger, run welfare and fundraising campaigns for members, and (when available) administer member loans. The Services are provided on a software-as-a-service (“SaaS”) basis.
4. Your Account
- You can register with an email address and password or through a third-party sign-in, such as Sign in with Apple or Google. You must provide accurate, current, and complete information and keep it up to date.
- You are responsible for keeping your login credentials and devices secure and for all activity under your account. Tell us immediately at info@tribily.com if you suspect unauthorized access.
- We may require additional verification (for example, confirming your email or phone number, or enabling multi-factor authentication) to protect accounts and Groups.
- You may not sell, transfer, or share your account, or impersonate any person or organization.
5. Groups, Group Administrators, and Verification
5.1 Registering a Group
A user may apply to register a Group. To protect members, every Group must be reviewed and approved by Tribily before it becomes active. During registration, we may request supporting documents, such as proof of the Group’s existence (constitution, registration certificate, or bylaws), evidence of the applicant’s authority, and identity information for the Group’s officers. We may approve, reject, or request more information about any application at our discretion, and we may later suspend a Group if information turns out to be inaccurate.
5.2 Responsibilities of Group Administrators
The person who registers a Group, and anyone the Group appoints with administrator rights (“Group Admin”), agrees to:
- operate the Group for a lawful purpose and in line with the Group’s own constitution, rules, or bylaws;
- set dues, campaigns, and (when available) loan terms fairly and clearly, and communicate them to members before charging them;
- record transactions accurately and correct errors promptly; Tribily maintains an audit trail but does not audit or verify a Group’s records;
- use members’ personal information only to run the Group, and comply with applicable privacy, consumer-protection, tax, charity, fundraising, lending, and anti-money-laundering laws;
- handle member questions, refunds, and disputes about Group money, and keep their own login secure; and
- complete any identity verification (“know-your-customer”) required by the payment provider to receive funds.
Group Admins can invite members, assign roles, and manage the Group’s settings. Group Admins do not act as agents of Tribily, and Tribily is not responsible for their decisions.
5.3 Joining a Group
You may join a Group via an invitation link or an email invitation. Each Group sets its own membership rules, dues, and policies. Your relationship with a Group, including any obligation to pay dues, is between you and that Group. If you leave a Group, past ledger entries remain part of the Group’s financial record (see Section 6).
5.4 Data Separation Between Groups
Each Group’s data is logically separated. Members of one Group cannot see the records of another Group. Tribily personnel access Group financial details only as needed to provide support, keep the Services secure, investigate misuse, or comply with law.
6. Financial Transparency Within Your Group
Transparency is a core feature of Tribily. By joining a Group, you understand and agree that the following information will be visible to the other members and administrators of that Group:
- your name, profile photo, and any profile details you choose to make visible;
- the dues billed to you, your payments and contributions, and your current balance (amount owed or in credit);
- your donations to welfare and fundraising campaigns, unless the Group enables an anonymous-giving option and you select it; and
- (when loans are available) the fact that a loan was approved for you and its outstanding balance, as configured by the Group. The reason you give in a loan application is shared only with Group Admins.
Ledger entries form a permanent financial record for the Group and cannot be edited or deleted by members. Group Admins make corrections through reversing or adjusting entries, which are recorded in the audit trail. If you delete your account, historical entries are retained for the Group’s records as described in our Privacy Policy.
7. Payments
7.1 Payment Processing
Member payments, including dues, “Pay Now” payments, and campaign donations, are processed by Stripe and, in the future, by other licensed payment providers we may add (such as Paystack for regional and mobile-money payments). By making or receiving payments, you also agree to the payment provider’s terms, including the Stripe Services Agreement and, for Groups receiving funds, the Stripe Connected Account Agreement. Tribily does not receive or store your full card or bank account numbers.
7.2 No Transaction Commissions
Tribily earns revenue only from Group subscriptions and does not take a commission on dues, contributions, or donations. Payment providers charge their own processing fees (for example, card processing or currency conversion fees). The provider discloses those fees, which may be deducted before funds reach the Group, and are not controlled by Tribily.
7.3 Automatic Payments
If you turn on automatic payments, you authorize the payment provider to charge your saved payment method for the amounts your Group bills you, on the schedule shown in the app, until you turn automatic payments off. You can switch automatic payments off at any time in the app; changes apply to charges not yet initiated. You are responsible for keeping your payment method valid and funded.
7.4 Refunds, Errors, and Chargebacks
- Dues, contributions, and donations are paid to your Group, not to Tribily. Requests for refunds should be directed to your Group Admin, who decides them in accordance with the Group’s rules and applicable law.
- If you believe a payment was made in error or without authorization, contact your Group Admin and us at info@tribily.com promptly. We will help investigate, but cannot reverse payments that have settled to a Group.
- If you dispute a charge with your card issuer, the payment provider’s dispute process applies, and the Group may bear any resulting chargeback amount and fee.
7.5 Currency
Each Group selects a default currency. Amounts are shown in that currency. If you pay in a different currency, your bank or the payment provider may convert it and charge a conversion fee; the amount credited to the Group is the amount settled by the provider.
7.6 Taxes
Groups and members are responsible for determining and paying any taxes related to their contributions, donations, or loans. Unless a Group tells you otherwise in writing, contributions through Tribily are not tax-deductible charitable donations.
8. Group Subscriptions
- Who pays? Members can download and use the app free of charge. Each Group pays a subscription fee to Tribily for use of the Services, billed to the Group Admin or the Group’s chosen payment method. The current price, billing period, and features are shown before purchase.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current price unless canceled before renewal. We will give at least 30 days’ notice of any price increase, which will take effect at your next renewal.
- Failed payments. If a subscription payment fails, we will notify the Group Admin and allow a 7-day grace period. If payment is not received by the end of the grace period, the Group will be placed in read-only mode: members can still view records, but new billing, payments, and campaigns are paused until the subscription is restored.
- Cancellation. A Group Admin can cancel at any time. Cancellation takes effect at the end of the current paid period, after which the Group becomes read-only. Group Admins can export the Group’s records for a reasonable period after cancellation.
- Refunds. Except where required by law, subscription fees are non-refundable, and we do not provide refunds or credits for partial periods.
- Purchases through the Apple App Store. If a subscription is purchased through Apple’s in-app purchase, the purchase is processed by Apple, is subject to Apple’s Media Services Terms and Conditions, and is charged to your Apple Account. You can manage or cancel it in your device’s Settings under your Apple Account > Subscriptions. Refund requests for App Store purchases are handled by Apple under its policies, not by Tribily.
9. Welfare and Fundraising Campaigns
Group Admins may create campaigns to support members during life events such as weddings, the birth of a child, illness, emergencies, or bereavement. For every campaign:
- the Group Admin who creates the campaign is responsible for describing its purpose, goal, and beneficiary truthfully, and for ensuring that funds raised are used for that purpose;
- donations are voluntary and are earmarked for the specific campaign in the Group’s ledger;
- Tribily does not verify the circumstances of any campaign, does not guarantee that a goal will be reached or how funds will be used, and is not a charity or fundraising organization; and
- campaign content must respect the beneficiary’s privacy. Do not post medical details, images, or other sensitive information about someone without their consent.
10. Community Loans (When Available)
We plan to offer a module that lets Groups lend to their own members. When the module becomes available in your region, the following terms apply:
- The Group makes loans to its members. Tribily is not a lender, does not make credit decisions, does not fund loans, and does not collect debts.
- The Group sets loan amounts, charges, interest, and repayment dates. It must clearly disclose all terms before a member accepts a loan, including the total cost, any annual percentage rate (APR), and each payment due date.
- To comply with app-store rules and protect members, loans administered through the Tribily mobile app may not carry a maximum APR (including all costs and fees) above 36%, and may not require repayment in full in 60 days or less. Stricter local limits always apply.
- Each Group is solely responsible for complying with all laws that apply to its lending, including licensing, interest-rate, disclosure, and debt-collection laws. Tribily may turn off the loan module for any Group or region.
- Repayments are applied first to outstanding loan balances and then to general contributions, as shown in the ledger.
11. Your Content and Member Profiles
“Content” means anything you upload or submit, including profile information, photos, campaign descriptions, messages, receipts, comments, and documents. You keep ownership of your Content. You grant Tribily a worldwide, non-exclusive, royalty-free license to host, store, copy, display, and process your Content only as needed to operate, secure, and improve the Services and to show it to the people you share it with (such as members of your Group). This license ends when your Content is deleted from our systems, except for copies we must keep for legal reasons or that are part of the Group’s financial record.
You are responsible for your Content and confirm that you have the rights to share it and that it does not violate these Terms or anyone’s rights. If profiles include business or professional listings, you are responsible for their accuracy and for any goods or services you offer to other members; Tribily does not endorse or guarantee them.
12. Acceptable Use
You agree not to use the Services to:
- post unlawful content, defamatory, harassing, hateful, threatening, sexually explicit, violent, or otherwise objectionable, or that invades someone’s privacy;
- bully, intimidate, shame, or publicly pressure members about payments beyond the factual ledger information the Services display;
- engage in fraud, misrepresentation, or deceptive fundraising, or raise money for a purpose other than the one stated;
- launder money, finance terrorism, evade sanctions, or process proceeds of crime;
- run gambling, lotteries, pyramid or Ponzi schemes, unlicensed investment schemes, or unlicensed lending or money-transfer businesses;
- collect other members’ personal information for marketing or any purpose unrelated to the Group;
- upload malware, probe or breach security, attempt to access another Group’s data, or interfere with the Services;
- scrape, copy, reverse engineer, or create derivative works of the Services except as permitted by law; or
- violate any applicable law or the rights of others.
13. Reporting, Blocking, and Moderation
We do not tolerate objectionable content or abusive users. The app lets you report content, campaigns, or users and block users from contacting you. You can also email info@tribily.com.
- We review reports promptly and aim to act on reports of objectionable content within 24 hours.
- We may remove content, restrict features, suspend or remove users or Groups, and, where appropriate, notify law enforcement.
- Group Admins can remove content and members from their Group in line with the Group’s rules.
14. Intellectual Property
The Services, including software, design, text, graphics, the Tribily name, and the Tribily logo, are owned by Tribily or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not use our trademarks without our prior written permission.
If you send us ideas or feedback, you grant us the right to use them without restriction or compensation.
If you believe content on Tribily infringes your copyright, send a notice to info@tribily.com with the information required by the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512(c)(3)). We will respond to valid notices and may terminate repeat infringers.
15. Third-Party Services
The Services integrate with third-party services, including Apple, Google, Stripe, cloud hosting, and messaging providers. Their terms and privacy policies govern your use of them. Tribily is not responsible for third-party services, and their availability may change.
16. Privacy
Our Privacy Policy explains how we collect, use, and share personal information, including information visible within your Group. Group Admins who access member information must also handle it lawfully.
17. Changes to the Services
We are continually improving Tribily. We may add, change, or remove features (including features described as planned), and may set usage limits. If a change materially reduces the paid features of a Group’s subscription, we will give reasonable notice.
18. Suspension, Termination, and Account Deletion
- By you. You can leave a Group at any time and can delete your account directly in the app (Settings > Account > Delete Account) or by emailing info@tribily.com. Before deleting, you should settle any amounts you owe your Groups; deletion does not cancel debts you owe to a Group.
- Groups. A Group Admin can close a Group after exporting its records. If a Group has outstanding loans or active campaigns, the Group Admin must resolve them first.
- By us. We may suspend or terminate access, or reject or suspend a Group, if we reasonably believe you or the Group violated these Terms or the law, created risk or possible legal exposure for Tribily or others, or if required by a payment provider or authority. Where appropriate and lawful, we will give notice and an opportunity to respond.
- Survival. Sections that by their nature should survive termination (including Sections 6, 7.4, 11, 14, and 19–28) will survive.
19. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, TRIBILY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY GROUP, MEMBER, CAMPAIGN, OR LOAN IS LEGITIMATE, ACCURATE, OR WILL PERFORM AS EXPECTED. TRIBILY IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY GROUP, GROUP ADMIN, OR MEMBER, OR FOR HOW ANY GROUP USES ITS FUNDS. NOTHING IN THE SERVICES IS FINANCIAL, LEGAL, OR TAX ADVICE.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
20. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) TRIBILY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES; AND (B) TRIBILY’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID TO TRIBILY FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (II) USD $100. AMOUNTS PAID TO A GROUP (SUCH AS DUES OR DONATIONS) ARE NOT AMOUNTS PAID TO TRIBILY.
These limits do not apply to liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, or for fraud.
21. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Tribily and its affiliates, officers, and employees from claims, losses, and expenses (including reasonable legal fees) arising from your Content, your use of the Services, your violation of these Terms or the law, or if you are a Group Admin the operation of your Group, including how it collects, holds, lends, or spends money.
22. Disputes Between Users
Disputes about dues, contributions, campaigns, loans, or Group governance are between the members and the group concerned. Tribily may, but is not obliged to, help by providing records from the Services. You release Tribily from claims arising out of disputes with other users or Groups, to the extent permitted by law. (California residents waive California Civil Code § 1542 to that extent.)
23. Dispute Resolution and Arbitration
- Talk to us first. Before filing a claim, contact us at info@tribily.com with a description of the dispute. We will try to resolve it informally within 60 days.
- Binding arbitration. If we cannot resolve it, you and Tribily agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court or seek injunctive relief for misuse of intellectual property.
- Class-action waiver. Disputes will be brought only on an individual basis, not as a plaintiff or class member in any class, consolidated, or representative action.
- Opt-out. You may opt out of this arbitration agreement by emailing info@tribily.com with the subject “Arbitration Opt-Out” within 30 days of first accepting these Terms.
- Where this does not apply. If you live in the European Union, the United Kingdom, or another jurisdiction that does not permit pre-dispute arbitration with consumers, this Section 23 does not apply to you, and you may bring claims in your local courts.
24. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, USA, and applicable U.S. federal law, without regard to conflict-of-laws rules. Subject to Section 23, the state and federal courts located in Spotsylvania County, Virginia have exclusive jurisdiction. If you are a consumer outside the United States, you also keep the protection of any mandatory laws of your country of residence.
25. Apple App Store Additional Terms
If you download the Tribily app from the Apple App Store, the following terms also apply and prevail over anything inconsistent in these Terms:
- Parties. These Terms are between you and Tribily only, not Apple Inc. (“Apple”). Tribily, not Apple, is solely responsible for the app and its content.
- Scope of license. Your license to use the app is limited to a non-transferable license to use it on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed by other accounts associated with you through Family Sharing or volume purchasing.
- Maintenance and support. Tribily is solely responsible for providing maintenance and support for the app. Apple has no obligation to furnish any maintenance or support services.
- Warranty. Tribily is solely responsible for any product warranties not effectively disclaimed. If the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
- Product claims. Tribily, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including product-liability claims, claims that the app fails to meet legal or regulatory requirements, and claims under consumer-protection, privacy, or similar laws.
- Intellectual property. If a third party claims that the app or your use of it infringes their intellectual-property rights, Tribily, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
- Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- Developer contact. Questions, complaints, or claims about the app should be directed to Tribily at info@tribily.com, +1 (571) 412-3885, or 5500 Joshua Tree Cir, Fredericksburg, VA 22407-9343, United States.
- Third-party terms. You must comply with applicable third-party terms (such as your wireless data service agreement) when using the app.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and, once you accept them, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
If you download the app from Google Play, the Google Play Terms of Service also apply to your download.
26. Export Controls and Sanctions
You may not use, export, or re-export the Services in violation of U.S. or other applicable export-control or sanctions laws. We may restrict access in certain countries to comply with applicable laws or payment provider requirements.
27. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will notify you in the app or by email at least 30 days before they take effect, unless a change is required sooner by law or to address security or misuse. Continuing to use the Services after changes take effect means you accept them. If you do not agree, stop using the Services and delete your account.
28. General
- Entire agreement. These Terms, the Privacy Policy, and any terms shown for specific features form the entire agreement between you and Tribily about the Services.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. Failing to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets, or to an affiliate.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including outages of payment providers, app stores, or networks.
- Notices. We may send notices in the app, by email, or by posting on tribily.com. You may send notices to the address below.
- Language. If we provide a translation, the English version controls to the extent permitted by law.
